In this video I answer a question from one my readers who asked: "Hi, Hope you folks can help me here. I started up a business which is developing several very useful and desirable products. I have invested a good deal of my own time and money and now need some modest funding to really get things going. I have a number of people who are very open to making an investment in my business but they are waiting for a proposal of what I can offer. I have a business plan prepared but I need some assistance to help me to structure to some type of offering. I guess I'm looking for some type of private placement memorandum structure, except that I don't want to issue stock. I was thinking of offering very attractive returns on a loan plus a provision for a revenue sharing note. Or possibly even revenue sharing preferred shares as mentioned in an article on this site. I'm not an attorney and I really can't afford to hire one for this purpose. So I was hoping there might be some resources available to help me to structure something which is both fair to the investor and my company and which properly documents the terms and conditions. http://www.BusinessBuyerAdvantage.com http://www.HowToSellMyOwnBusiness.com http://www.InvestLocalBook.com Buying assets vs. buying shares When buying or selling a business, a common question that comes up is whether to buy or sell the shares or the assets of the business. For some people who are not familiar with this, the concept can be hard to grasp. That’s why I made this video to explain things in simple terms: https://youtu.be/HgDLgwbXgj0 Here’s an illustration. Imagine that Mark owns a lawn maintenance company; Mark’s Lawns Inc. Mark’s Lawns Inc. owns a tractor. If you wanted to get into the lawn maintenance business you could buy Mark’s Lawns Inc. The ownership of the tractor doesn’t change. It was and still is owned by Mark’s Lawns Inc. In this case, the seller is Mark. He’s selling the shares of the corporation to you. The other way to buy the business would be to buy the tractor. In this case, Mark’s Lawns Inc. is the seller. The ownership of Mark’s Lawns Inc. doesn’t change. Mark will still own this corporation after the transaction, the only difference is that the company will have money in it instead of a tractor. Because corporations are people under the law, a share sale makes a new owner subject to liabilities to past events. An attorney will do their best to structure warranties to try to protect a buyer but at the end of the day, a share sale could expose a buyer to unwanted liabilities. Asset sales are technically just the purchase of ‘stuff.’ In this regard a buyer doesn’t necessarily have to worry about most of the past issues with the corporation. Also there are usually tax advantages for buyers who buy assets because equipment that may have been fully depreciated by a seller may now appear on the buyer’s books at fair market value and can be depreciated again by the buyer. Seller’s know this and there is an equal tax disadvantage vis-à-vis depreciated equipment. Also, in some places, such as Canada, there is preferred tax treatment on the sale of shares of an eligible corporation. So when people ask me if they should buy or sell shares or assets I tell them this: Buyers should try to buy assets, sellers should try to sell shares but at the end of the day it doesn’t matter. The type of transaction will form part of the negotiation. Let me give you a simple example. A seller wants $250,000 for their business. A buyer offers $200,000. The seller says that they can’t go that low unless the buyer is willing to purchase shares… a deal is struck. The tax advantages/disadvantages of either form of sale are known by both parties and can sometimes be estimated by both parties. As such, it just comes down to dollars and cents in most cases.. unless there are specific reasons to buy shares such as contracts, government regulation, etc… but that is a subject for another day. The Howey Test and Investment Contracts- In the last Lawcast I talked about the “Howey Test” for determining when an investment contract is a security. The Howey Test has been applied to find that many non-traditional investments are a security. So for instance, in a later case, the court found that sale of shares in a housing cooperative that were bundled with the cost of an apartment to be used as a residence and where the coop income is used for common operating expenses and upkeep of the building, there was not a securities transaction where the investors were attracted solely by the prospect of acquiring a place to live, and not by financial returns on their investments. However, courts have found that the sale of a condominium unit itself can be a security where (i) the offer of the unit is accompanied with an opportunity to participate in a rental pool; (ii) the offer of the unit requires use of an exclusive rental agent; (iii) the offer of a unit that limits time of use of the owner or involves shared ownership (time share arrangements); or (iv) advertising the sale of a unit with an emphasis on economic benefit (such as rental income or tax benefits). Applying the Howey Test, courts have interpreted a security to include such diverse items as citrus groves, warehouse receipts, chinchillas, minks, diamonds, bullion, pay phones, prepaid phone cards, real estate and equipment, and condominium units, when they were offered or sold under circumstances involving the investment of money and expectation of a return through the efforts of others. The Howey Test actually interprets an “investment contract” as that term is used in the federal securities laws and, as later clarified by the Supreme Court in Landreth Timber Co. v. Landreth, is not meant to be used to decide whether all securities are indeed a “security.” Accordingly, where the sale of a business is completed through the sale of stock or other equity interests, if the ultimate success of the investment is dependent on the efforts of the investor/buyer, even though the stock or other equity is clearly a security in the statutory definition, the Howey Test does not apply. In particular, the Landreth court held that where a business is sold via the sale of the equity in the business, it is a security and the registration and exemption provisions of Section 5, broker-dealer registration requirements under the Exchange Act and anti-fraud provisions under both the Securities Act and Exchange Act apply. However, as I will talk about in future Lawcasts, later SEC guidance and no action letters, as well as various state statutes have carved out an exemption from the broker dealer registration requirements in this sale of business fact set... A New China-Taiwan Agreement Protects Investors

But on Thursday they reached an agreement to protect investors. The agreement is important because China and Taiwan do not have diplomatic relations. China claims Taiwan as its territory. But Taiwan has been self-governing since 1949. The sides agreed to open new areas to investment and to inform the other within 24 hours if an investor is arrested. Talks on the deal have lasted two years. But they have been slowed because of the different legal systems in the two areas. The Chinese and Taiwanese negotiators signed the agreements in Taipei. They set up a way to negotiate, an arbitration mechanism. The deal also will open new areas of business and industry to investment. Chinese interests had held back investment because of fears of a change in Taiwan's government. Market experts expect Chinese investors to buy shares of Taiwanese companies listed on Taiwan's stock exchange. Experts think high-technology and travel industries will receive a lot of investment over the short term. Taiwanese share prices are considered undervalued although companies are doing well. Jack Huang is a lawyer in Taipei. He says China will buy stocks and seek partnerships with Taiwanese companies, especially in technology. Jack Huang says a lot of investment will come from Chinese companies or the Chinese government wealth fund. He says Taiwan's companies are mainly financially sound but stock prices are not too high. "Taiwan stocks," he says, "are undervalued."Taiwan's economy is over $430 billion. Taiwan permits Chinese investors to buy directly into Taiwanese companies in 247 industries. They can also buy up to a 10 percent share in most companies.Experts in Taiwan say China wants to invest in the island to support efforts at political reunification. The Nationalist Party, or KMT, of the former leader of China Chiang Kai-shek went to Taiwan at the end of the country's civil war in the 1940s. Today, Taiwan has several political parties. The main opposition party held power for eight years starting in 2000. President Ma Ying-jeou of the KMT has sought closer economic ties with the mainland. Deciding on which purchase and sale agreement form to use can be confusing for real estate investors. Selecting the correct form is easy with guidance from an expert real estate investor. Should investors use the long or short form agreement? An educated and well informed property investor can save a tremendous amount of time and money... Hello, this is Marko Rubel with Unlimited Funding Program, the authority in real estate investing. Today I've prepared a short tutorial explaining when to use the long form agreement and short form sale and purchase agreement. Here are some real estate investment strategies you can use when establishing your business. Question -- ''Janet is asking on the purchase and sell agreement, the short form or the long form: which one they should use?" Answer -- ''We have a purchase and sales agreement that's a short form, one page legal size, and a long form. When you're buying a house that's subject 2, you want to use the short form because it doesn't matter how long it is if you don't get it signed. Use a short form. It's less threatening and you'll get it signed. Obviously make sure you have it on a two-piece NCR and all that as we teach you. Long form, if you're planning on flipping the house, wholesaling the house, or assigning the house, then obviously you want to have more terms in that. You want to use the long form. The long form protects you more. It protects your buyer that you're going to be actually assigning the house too. If you're doing a house where you're putting a lot of cash in the house or you're going to be assigning the house to someone, in that case, yeah it's okay if you use the long form. The difference is -- go ahead Mike. One of the options is a short-sale and is upside down. If the house is a short sale and it's upside down then pretty much you can use any contract. They don't have a choicer they're going to sign anything. It depends on who is doing the negotiation. My negotiators in the office, we basically use the real estate realtor's agreement, the standard department of real estate agent's sales and purchase agreement. Whatever they use, we use that. Then when we submit the package to the bank, it doesn't look unusual. It looks everything like it is. Plus, as I said, my negotiators are licensed agents. I had a lot of them, now I don't. That's how you do it. Yeah. Wayne is saying, "I've already watched module 13 four times. It's so great. Repetition equals permanent learning. Thank you so much. Wayne, this is a good point because when you watch things, they say, "Repetition is the mother in study." There's a lot in that saying that's been around for thousands of years because it's true. If you repeat those modules and you study them, you will learn. Guys, study is important. Learn all that you can about your business, including when to use which sale agreement. You know what? Studying without going out without implementing and practicing again doesn't get you far. Questions that should be answered in a producer agreement: are where the song will be recorded, what is the artist’s approval process or how do they come to an approval if they are signed to a label, and how is the producer expected to deliver the files. 2. Controlling the masters should include the exclusive rights to manufacture and distribute the masters. But,if they can afford a family office, they prefer to invest $5MM+ in more typical venture investments, not $500K for a startup. Preferably, you need to find an individual that understands your industry and business model and can bring real value to the table. If they have first hand experience in your space, and they think they can help you accelerate your efforts, it is easier for them to get over the investment hurdle. So, identify those individuals, and try to figure out someone they know, who can credibly make an introduction for you. As an example, if you think you have the next great video gaming technology, I would research what similar video game technologies have recently been sold (meaning the founder just got very cash rich), and reach out to that founder to tap into their expertise as an advisor, board member or investor. Notice, I didn't lead with investor. You need to establish credibility with this individual before jumping into the investment question. And, if he doesn't want to invest, he may know others in the industry that would, so ask him for references. Venture capital firms are also aware of key angels in their market, so reach out to them for guidance. Angel List is a particularly good resource that makes finding angels for your region/industry easier than ever, so check them out as a good place to start. But, again, look for credible relationships to help open the door for you, preferably to investor is your home market (as most angels tend to bias local investments). 👉Angel Investor Networks This category, is my favorite category: networks aggregating angel investors. Like the family offices, investors set aside funds for angel investments, screened by a professional team that sources deals for the network. So, the individual angel gets to keep their anonimity and have the comfort of a team of smart managers doing due diligence on investment targets, on their behalf. So, instead of one angel investing $1MM by themself, 100 angels aggregate $100MM and invest as a group in the deals they like the best, individually or collectively. The New York Stock Exchange (sometimes referred to as "the Big Board") provides a means for buyers and sellers to trade shares of stock in companies registered for public trading. The NYSE is open for trading Monday through Friday from 9:30 am -- 4:00 pm ET, with the exception of holidays declared by the Exchange in advance. The NYSE trades in a continuous auction format, where traders can execute stock transactions on behalf of investors. They will gather around the appropriate post where a specialist broker, who is employed by an NYSE member firm (that is, he/she is not an employee of the New York Stock Exchange), acts as an auctioneer in an open outcry auction market environment to bring buyers and sellers together and to manage the actual auction. They do on occasion (approximately 10% of the time) facilitate the trades by committing their own capital and as a matter of course disseminate information to the crowd that helps to bring buyers and sellers together. The auction process moved toward automation in 1995 through the use of wireless hand held computers (HHC). The system enabled traders to receive and execute orders electronically via wireless transmission. On September 25, 1995, NYSE member Michael Einersen, who designed and developed this system, executed 1000 shares of IBM through this HHC ending a 203 year process of paper transactions and ushering in an era of automated trading. As of January 24, 2007, all NYSE stocks can be traded via its electronic hybrid market (except for a small group of very high-priced stocks). Customers can now send orders for immediate electronic execution, or route orders to the floor for trade in the auction market. In the first three months of 2007, in excess of 82% of all order volume was delivered to the floor electronically.[23] NYSE works with US regulators like the SEC and CFTC to coordinate risk management measures in the electronic trading environment through the implementation of mechanisms like circuit breakers and liquidity replenishment points.[24] Until 2005, the right to directly trade shares on the exchange was conferred upon owners of the 1366 "seats". The term comes from the fact that up until the 1870s NYSE members sat in chairs to trade. In 1868, the number of seats was fixed at 533, and this number was increased several times over the years. In 1953, the number of seats was set at 1,366. These seats were a sought-after commodity as they conferred the ability to directly trade stock on the NYSE, and seat holders were commonly referred to as members of the NYSE. The Barnes family is the only known lineage to have five generations of NYSE members: Winthrop H. Barnes (admitted 1894), Richard W.P. Barnes (admitted 1926), Richard S. Barnes (admitted 1951), Robert H. Barnes (admitted 1972), Derek J. Barnes (admitted 2003). Seat prices varied widely over the years, generally falling during recessions and rising during economic expansions. The most expensive inflation-adjusted seat was sold in 1929 for $625,000, which, today, would be over six million dollars. In recent times, seats have sold for as high as $4 million in the late 1990s and as low as $1 million in 2001. In 2005, seat prices shot up to $3.25 million as the exchange entered into an agreement to merge with Archipelago and become a for-profit, publicly traded company. Seat owners received $500,000 in cash per seat and 77,000 shares of the newly formed corporation. The NYSE now sells one-year licenses to trade directly on the exchange. Licences for floor trading are available for $40,000 and a licence for bond trading is available for as little as $1,000 as of 2010.[25] Neither are resell-able, but may be transferable in during the change of ownership of a cooperation holding a trading licence. On February 15, 2011 NYSE and Deutsche Börse announced their merger to form a new company, as yet unnamed, wherein Deutsche Börse shareholders will have 60% ownership of the new entity, and NYSE Euronext shareholders will have 40%. On February 1, 2012, the European Commission blocked the merger of NYSE with Deutsche Börse, after commissioner Joaquin Almunia stated that the merger "would have led to a near-monopoly in European financial derivatives worldwide".[38] Instead, Deutsche Börse and NYSE will have to sell either their Eurex derivatives or LIFFE shares in order to not create a monopoly. On February 2, 2012, NYSE Euronext and Deutsche Börse agreed to scrap the merger.[39] In April 2011, IntercontinentalExchange (ICE), an American futures exchange, and NASDAQ OMX Group had together made an unsolicited proposal to buy NYSE Euronext for approximately US$11 billion, a deal in which NASDAQ would have taken control of the stock exchanges.[40] NYSE Euronext rejected this offer two times, but it was finally terminated after the United States Department of Justice indicated their intention to block the deal due to antitrust concerns. http://en.wikipedia.org/wiki/New_York_Stock_Exchange

Filling out lease agreements may seem daunting at first, because of all the pages and legal terminology, but if you really read through it, its not that hard at all. Its important that you review it multiple times, and become familiar with all the lease agreement clauses, so you sound like a professional when speaking with your tenants. This is important, because there are people out there who are "professional tenants", they know the law better than most landlords, and can play you for a fool. PSTI and CHA Strategic Partnership Agreement; Conclude Mutual Investment of $10.4 Million

HAIFA, Israel, Dec. 17, 2013 (GLOBE NEWSWIRE) -- Pluristem Therapeutics Inc. (PSTI) (TASE:PLTR) today announced that pursuant to the previously announced exclusive out-license and strategic partnership agreement between Pluristem Ltd. and South Korea-based CHA Bio&Diostech (Kosdaq:CHA), the details of which were announced on June 26, 2013, Pluristem and CHA entered into investment agreements pursuant to which Pluristem has issued to CHA 2,500,000 shares of its common stock in consideration for the issuance to Pluristem of 1,011,504 shares of CHA. This reflects a total consideration of $10.4 million, at a price of $4.16 per Pluristem common share, a premium of 26% over the closing price on December 16, 2013. The shares are subject to a lock up period of one year. The previously announced agreement with CHA encompasses the use of Pluristem's PLX-PAD cells in the treatment of two subsets of Peripheral Artery Disease (PAD) in South Korea: Intermittent Claudication (IC) and Critical Limb Ischemia (CLI). Zami Aberman, Pluristem's Chairman and CEO stated, "We are excited to finalize and move forward with this strategic agreement with CHA Bio. We believe that initiating clinical trials with CHA Bio for indications in the area of peripheral vascular disease opens significant opportunities for Pluristem in South Korea's dynamic regenerative medicine industry. We also look forward to potentially expanding the use of our PLX cells for other indications with our partner, CHA Bio." The first clinical study to be performed as part of the agreement will be a Phase II trial in IC which will run in parallel to the Phase II trial being conducted in the USA, Germany and Israel. As previously announced, this study was approved in November 2013 by South Korea's Ministry of Food and Drug Safety (MFDS). Pursuant to the previously announced agreement with CHA, upon the first regulatory approval for a PLX product in South Korea, Pluristem and CHA Bio will establish a joint venture (JV) co-owned by the parties. The purpose of the JV will be to commercialize PLX cell products in South Korea. Additionally, Pluristem will be able to use the data generated by CHA Bio to pursue the development of PLX product candidates outside of South Korea. About CHA Bio&Diostech CHA Bio&Diostech Co., Ltd. is a leading biopharmaceutical company headquartered in South Korea; its R&D focuses on stem cells, cell therapeutics, medical device, and new drug development. The company is a member of CHA Health Systems Group, which is composed of a medical university, medical centers and hospitals located in the US and Korea with in excess of two thousand beds under care, stem cell research centers, personal & preventive medicine, and bio venture divisions. JERUSALEM, Nov. 30, 2015 /PRNewswire/ -- Oramed Pharmaceuticals Inc. (ORMP), a clinical-stage pharmaceutical company focused on the development of oral drug delivery systems, announced today it has signed definitive licensing and investment agreements valued at up to $50,000,000 with Hefei Tianhui Incubator of Technologies Co., Ltd. ("HTIT") for exclusive rights to market Oramed's oral insulin capsule, ORMD-0801, in China, Hong Kong and Macau. The agreements were signed at the Israel Knesset (Parliament). The license agreement payments include a $3 million payment due upon execution of the agreement, $8 million in near-term payments subject to Oramed entering into certain agreements and the balance payable upon achievement of certain milestones. In addition, if all conditions are met, HTIT will pay a 10% royalty on net sales of the related commercialized products. In addition to the contemplated payments under the license agreement, pursuant to the investment agreement, Oramed will issue to HTIT 1,155,469 restricted shares of Oramed's common stock at a price per share of approximately $10.39 and $12 million in total, subject to customary closing conditions. "China recently became the country with the largest number of diabetics in the world. Having signed these definitive license and investment agreements, our oral insulin capsule could help serve the growing population of people in China living with diabetes," stated Oramed's CEO Nadav Kidron. "In addition to the $50 million in milestone payments and investments, we believe the royalties on net sales throughout China will have a very significant impact on Oramed's future revenues and earnings, upon market approval of ORMD-0801 in China." Minority Stake Acquisition (Equity Investments, Part 1)

Here's an outline of what we'll cover in this free Minority Stake Acquisition tutorial: Why Does This Matter? By http://breakingintowallstreet.com/ "Financial Modeling Training And Career Resources For Aspiring Investment Bankers" The way you reflect minority stake purchases on the financial statements differs from what you do for acquisitions of entire companies, and from greater than 50% ownership acquisitions. We create an item called "Equity Investments" AKA "Investments in Equity Interests" AKA "Associate Companies" on the Balance Sheet to reflect cases where we own less than 50% of other companies. It's also very, very common to see these deals in the news... we're looking at a ~$2.6 billion deal here between Liberty Media and Charter Communications Liberty Media is a large holding company and media conglomerate that buys stakes in lots of media companies... such as Sirius XM Radio, Time Warner, Viacom, Live Nation, Crown Media, and Barnes & Noble. Charter Communications is the 4th largest cable operator in the US, as of the time of this deal. Liberty purchased a 27% stake in Charter, worth $2.6 billion, which was announced in Q1 2013 and closed in Q2 2013. We're going to look at this acquisition via a 4-step process in this set of tutorial videos: 1. What happens on the financial statements when you purchase that initial minority stake in a company? We'll cover this first step in this tutorial. 2. What happens on the statements after running the business for several years, with that minority stake included? 3. What happens when you increase your ownership in that company? 4. How do you reflect a sale of a minority stake on the financial statements? What Do You Do to Reflect This? It's DIFFERENT from greater than 50% ownership acquisition because you do NOT go through the purchase price allocation process at all - no Goodwill, no write-ups, no consolidation of the financial statements, etc. Instead, you simply reflect the cash/debt/stock used to fund the deal on the Balance Sheet, create the new line item for your ownership in the other company, and also reflect any transaction fees paid for this minority stake. So this initial step is pretty simple - but it gets more complicated when you have to reflect earnings and dividends from the Equity Investments *after* the transaction closes. How Do You Reflect This Type of Acquisition on the Statements? 1. First, you need 3-statement projections for the Parent Company and target company. We've already filled these in here, based on equity research and our own estimates - this is NOT the focus of this lesson, so we're not going over how to create these projections. If the deal closes in the middle of the year, quarterly projections are best so you can be more precise - here, we're dividing 2013 into quarters but leaving the other years in annual figures. 2. Then, you need to look up information on the deal - the close date, purchase price, % cash/debt/stock used, and anything else relevant such as the maximum ownership percentage. 3. Then, go to Balance Sheet and reflect cash/debt/stock used and creation of new Equity Investments line item. Careful with debits and credits... CR Asset = Reduce it, CR Liability = Increase it. DR Asset = Increase it, DR Liability = Reduce It. Aside from cash, debt, and the Equity Investments line item, most other line items will not be adjusted at all in this initial transaction. So the set of steps here is just: CR Cash DR Equity Investments CR Long-Term Debt And if you've set up the model correctly, the Balance Sheet should remain in balance. Most other line items will be $0 - we're ignoring transaction and financing fees here. What Next? In parts 2-4, we'll walk through what happens on all 3 statements when a minority stake is purchased, what happens when the parent company increases its ownership, and what happens when it finally sells that minority stake to someone else. Again, we'll be using this Liberty Media / Charter Communications deal as the example for all the steps here.

The aim is to infuse cottage industry with individual investments, serving the community, building complexity back into the social fabric for more flexibility and care to come alive. This video short offers Culture for Care, my work as an example for creating micro investments. As Culture for Care is one place for investments to go, I name another business that Culture for Care is in relationship with, Radiant Beauty, another group of individuals in Sebastepol Ca. as an example of another group/business that is in support of Culture for Care, that Culture for Care supports... You can take this model and apply it to any up and coming cottage industry. the investor invest in the "product/gift" and then can share the "product/gift" as a gift to those who they want to give it to or for themselves. Making the investor value what they are investing in through taking part in the offering for themselves or gifting it to others. As a micro investor they would get access to the "gift/product". As part of the agreement, this is where it gets soft and shared...as the soft mixes with the hard, it all becomes relational, for it is in the agreement process where all are living in a listening conversation with a structure of agreement on how to listen that allows for grater flexibility and co-support to happen over time. Part of the agreement is to track over time how much soft currency is used; Yearly, seasonally, however the agreement is set up between the micro investor and the homegrown group. It is through valuing what is being invested in and building up healthy ways to share, both the hard and the soft, the money and the gift. In this model any hard currency that in used becomes a part of the soft by cultivating heathy relational exchange that serves the social system of good feelings and care as the base note to aim for over time.
