In this video, we discuss what is underwriting by Investment Banks and how they essentially ensure the fundraising of the company going for an IPO. What is Underwriting? When a firm looks to raise funds from the public, then they approach investment bankers to help them go to market, find investors etc. One of the functions of investment bankers is to ensure that the fundraising is a success. The next type of investment banking services we will examine are advisory services, comprising assistance in transactions, like mergers and acquisitions (known as M&A) and debt restructurings. As we already said, M&A stands for Mergers and Acquisitions. In every M&A process, there are at least two parties. One of the companies is called the Buyer or the Buying company, and the other one is called the Target, which is the firm acquired. The Buyer company can offer a compensation to the Target company’s shareholders in several ways. They can offer a cash compensation, a stock package of the new entity, or a combination of both. The technical name of the amount paid is called “consideration.” There are several reasons M&A deals play an important role in a company’s life. Top managers understand that, sometimes, it is cheaper to acquire something that has been already created, rather than trying to generate it internally. In addition, businesses are so complimentary that their combination can unlock a great deal of savings, efficiencies, and opportunities. We will focus on these aspects in the chapter dedicated to the mechanics of M&A services. Why do companies need help when acquiring other companies? Investment bankers are ideally positioned to provide valuable M&A insights to their clients, as they know their business and the industry in which they operate. Sometimes, an investment bank advises several firms from an industry and can gain perspective through multiple points of view. Besides M&A, many investment banks engage in restructuring services. These services are necessary when a firm cannot service its debt and is in danger of going bankrupt. I’m sure you can imagine how tough it is to work on these transactions and assist companies in deep trouble. What leads to the distress of a company? Why would a company borrow money it can’t repay? Don't know how to cope with your current work load never mind making investment bank internship applications? Well, as important as getting top grades is, getting a job is just as important. In fact, I recently had a similar work load problem. I signed up to do an online course on building informational apps and I simply couldn't fit it in. The solution? An hour a day! As busy as I am, I decided that I could dedicate an hour every day to the cause as it was important enough. By sticking to that commitment I have managed to finish the course within two weeks. You can do the same for your job applications. You don't have to do everything in one go. Split the investment banking application process into one-hour batches and spread it over the next three or four weeks. I personally wouldn't wait until the Christmas holidays to make applications because some banks are reading applications as they come through and not only inviting people for interviews but making internship offers. This means the pool of internships available is shrinking every week. Here is how you can organise yourself: 1. The first application is the most crucial, it sets the trend for the rest. I wouldn't submit an application for the first week to ten days. Week one is 'research week'. You need to figure out: How the investment bank recruitment process works What your primary qualities are and how your experiences validate these qualities How to answer questions in such a way that you get job interviews Importantly, which banks to apply to (you can start at http://www.katsonga.com/girlbanker/top-50-investment-banks-which-investment-bank-should-you-apply-to At this point, I am of course going to do like any self-respecting author and plug my book, To Become an Investment Banker (spare yourself the reading and get the audiobook). It contains all the above and much more! The audio book is just over 9 hours long. 2. Research done, it's time to log onto investment bank sites and draft your first answers. In order to get access to the questions, you'll need to enter some personal details into an online application form. Enter whatever details you need to give to gain access to the application form, then copy and paste the questions into a word processor. Do this for two or three banks. 3. Draft some answers. Read through your answers. Ensure all claims are validated with a relevant example. 4. Get an independent opinion on your application form. If you can't afford professional help get a friend to do it. If your friend's feedback is very brief or overly complimentary get another friend to check your answers. Keep in mind that friends can find it hard to give constructive feedback. I had one guy send me one if his friend's cover letters and ask what I thought of it. I thought it was rubbish, he did too but he didn't know how to tell his friend so he just left it at that! 5. When you are happy with one application, send it off. Getting happy with the first application will probably take 5 to 6 one-hour slots. 6. Move on to application two. This will take 3 to 4 one-hour slots. Once you have the hang of it and there is sufficient overlap between questions you will get it done even faster. An hour a day is all you need to get all your applications done in 3 to 4 weeks. Your resume walk-through is how you answer the "Tell me about yourself" or "Walk me through your resume" or "Why are you here today?" question when you walk into an interview and first introduce yourself. This is IMPORTANT because it's y our first impression, and interviewers often decide your status within the first 5 minutes of the interview. Come across well, and you can answer other questions poorly but still receive a job offer or move onto the next round; come across poorly, and you won't move to the next round no matter how great your Excel skills are. We recommend this outline for your resume walk-through: 1. The Beginning - Where you went to school, where you started out working, your family background, etc. 2. The Spark - What, specifically, made you interested in finance initially? A person? An event? Your parents day trading or running a business? A professor? An internship? 3. Growing Interest - How did you develop this interest via classes, activities, further internships or jobs, and your networking and self-study efforts? 4. The Future / Why You're Here Today - What's your future goal (advising / investing in companies?) and how will working at this firm allow you to contribute TO that firm while also achieving your long-term goals? THE PROBLEM: Often, the last part - the "Future" / "Why You're Here Today" segment is BORING and what you say sounds identical to everyone else's statement. "I want to become a trusted adviser to companies." "I want to invest in companies in XX sector." THE SOLUTION: Link it back to the FIRST PART of your story - either your Beginning or Spark - to make it more memorable and attention-grabbing. It works in movies (see: Inception and The Usual Suspects), and it works in interviews, too! Example 1: You're in a private equity interview, and your Spark is how you helped a private tech company raise funds; you saw additional expansion opportunities via partnerships and other deals, but in investment banking you just advise on one deal and that's it... so you started looking into PE in more detail. Instead of just saying, "I want to combine my interest in tech with my background in finance and invest in tech companies in the future," say: "So I'm here today because of that original situation with the private company that sparked my interest in the industry - I want to get more opportunities like that, where I can help improve businesses over the long-term via partnerships, acquisitions, and operational changes that you only get to implement in private equity. And in the future, I want to be an investor in the tech sector, and your firm is the best place for that because... [Insert the rest of your reasons here]" Example 2: You're in an investment banking interview, and your Spark was working at a non-profit that merged with another non-profit one summer, after which you started taking more finance classes and learning more about the industry. You have a background in public policy, and your long-term plan is to advise in the Project Finance / Public Finance sectors. Instead of just saying that for the last part of your story, you could say: "I want to advise organizations that may not be as ‘savvy’ about finance, like the merged non-profit I was at a few years ago – and become a trusted adviser to those types of public/private organizations. Your firm is the ideal place to do that because of [And insert references to other deals or clients they've advised here]."
